These Terms of Service ("Terms") govern your use of services provided by Nuvex Media LLC ("Nuvex," "we," "us," or "our"), a Wyoming limited liability company. By placing an order or using our services, you agree to these Terms.
1. Services
Nuvex provides configuration and integration services for AI assistants, workflow automation, and analytics dashboards. The specific scope of services for your project is defined by the product you purchase (as described on our Products section) or by a written custom quote we provide.
2. Orders and acceptance
When you place an order, you make an offer to purchase the selected product. Your order is not accepted until we send a written project confirmation (typically via email) within 1 business day. We reserve the right to refuse any order at our discretion — for example, if the integration you need isn't compatible with our services — in which case we refund any payment received in full.
3. Payment
Pricing and currency
All prices are in United States Dollars (USD) and exclusive of applicable taxes. The price for your product is the price displayed at the time of order.
Payment terms
Standard products are paid in full upfront before work begins. For custom quotes above $500, we may agree to a 50/50 split (50% on start, 50% before delivery).
Payment processing
All payments are processed by Stripe, a PCI-DSS Level 1 certified payment processor. We accept Visa, Mastercard, American Express, and Discover.
Failed payments and chargebacks
If a payment fails or is reversed without a valid reason, we reserve the right to suspend or cancel the project, withhold delivery, and pursue collection through lawful means. You agree to reimburse any chargeback or processing fees we incur as a result.
4. Third-party platform costs
Nuvex fees cover only our configuration, integration, and setup work. Costs charged by third-party platforms — including but not limited to OpenAI, Anthropic, Google Cloud, Zapier, Make.com, n8n, hosting providers, and any other services required to run the systems we deploy — are billed by those providers directly to you. We can advise on cost-effective plan choices during the intake.
5. Client responsibilities
By placing an order, you confirm that:
- You are at least 18 years old and legally able to enter into contracts
- You have the authority to grant us access to the accounts and tools required
- Any content, data, or credentials you supply are yours or licensed for use
- You will respond to intake questions and clarifications within a reasonable timeframe
- You will not use the systems we deliver for unlawful, deceptive, or harmful purposes
- You take responsibility for compliance with any regulations that apply to your use of AI (e.g., GDPR, HIPAA, sector-specific rules)
6. Deliverables and timelines
Each product listing includes an estimated delivery window. Timelines start from the moment we receive a complete intake form and payment is confirmed. Delays caused by missing information, unresponsive credentials, or scope changes will extend the timeline.
7. Intellectual property
Transfer of ownership
On full payment and final delivery, all rights in the configurations, prompts, workflows, documentation, and other bespoke work we create for you transfer to you. You may modify, reuse, or discontinue these components without restriction.
Retained rights
Nuvex retains ownership of its general methodologies, internal templates, and standardised components. Nothing in these Terms grants you rights to Nuvex's underlying know-how or the right to resell our services under your name without a separate agreement.
Third-party components
Some components in your delivered system may involve third-party AI models, services, or software. Your use of those components is governed by the third party's terms. We disclose all third-party dependencies in the delivery documentation.
8. Warranty and limitation of liability
We warrant that at the time of delivery, the systems we build will function as described in the product listing you purchased. We do not warrant that AI output will be error-free, that automations will function indefinitely without maintenance, or that the systems will produce any specific business outcome.
To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the services is limited to the amount you paid for the specific project giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages — including lost profits, data loss, or business interruption.
AI-specific disclaimer: AI models can produce inaccurate, biased, or inappropriate output. You are responsible for reviewing and validating AI output before using it in any customer-facing or business-critical context. Nuvex is not liable for losses resulting from unreviewed AI output.
9. Confidentiality
We treat project briefs, credentials, and business information as confidential. We do not share or discuss your project with third parties except as needed to deliver the service. Standard NDAs are signed on request for larger projects.

Either party may terminate the project agreement under the terms in our Refunds & Delivery Policy. We reserve the right to terminate services immediately if you breach these Terms, engage in abusive conduct, or fail to make payment.
12. Governing law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Natrona County, Wyoming, and you consent to personal jurisdiction in those courts.
13. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Material changes will be communicated to active clients via email. Continued use of our services after changes constitutes acceptance.
